Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Lexibird, Inc. ("Lexibird," "Company," "we," "us," or "our") regarding your access and use of Lexibird’s services, including mobile, desktop, and web applications, as well as any related media forms, channels, websites, or applications (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using the Services.

We may update these Terms from time to time. The latest version will be posted with a "Last updated" date. Your continued use of the Services after any modifications constitute your acceptance of the updated Terms. It is your responsibility to review the Terms periodically.

1. Intellectual Property Rights

Unless otherwise specified, all content within the Services, including source code, databases, software, website designs, text, images, videos, trademarks, and logos (collectively, "Content"), is owned or licensed by Lexibird and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business use. Any unauthorized use, reproduction, or distribution of the Content is prohibited.

2. User Responsibilities

By using the Services, you agree that:

  • You have the legal capacity to enter into this agreement.
  • You will not use the Services for any unlawful, unauthorized, or fraudulent activities.
  • You will not use automated methods (bots, scripts, etc.) to access the Services.
  • You will not violate the rights of others, including intellectual property and privacy rights.

We reserve the right to suspend or terminate your account for violations of these Terms.

3. Fees and Payments

Some features of the Services require payment. By making a purchase, you agree to provide accurate billing information and authorize us to charge your selected payment method.

  • Prices may change at any time.
  • Payments are non-refundable.
  • Subscription cancellations take effect at the end of the billing period.

4. Submitted Content

You may submit data to the Services for processing. These submissions remain private and are not shared with other users without your consent. Lexibird does not claim ownership over your submitted content. We process your data only as necessary to provide the Services.

5. Service Modifications and Interruptions

We may update, modify, or discontinue any aspect of the Services at any time without notice. We are not liable for interruptions, technical issues, or service unavailability.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXIBIRD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE PAST SIX MONTHS.

7. Indemnification

You agree to defend, indemnify, and hold harmless Lexibird, its affiliates, employees, and agents from any claims, damages, liabilities, and expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your infringement of any third-party rights.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of New York, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules, except that either party may seek injunctive relief in court.

9. Changes to These Terms

We reserve the right to update or modify these Terms at any time. The latest version will be posted with a "Last updated" date. Your continued use of the Services constitutes acceptance of any changes.
